Section 1 — Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and C-Homes Technologies Ltd ("CHomes", "we", "our", "us") governing your access to and use of the CHomes platform (the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all related policies, including our Privacy Policy v3.0 and Acceptable Use Policy v1.0.
By using the Platform, you represent and warrant that you are at least 18 years of age and have the full legal capacity to enter into this agreement. If you are accessing the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
Section 2 — Platform Overview
CHomes provides a digital property management platform that enables estate administrators, landlords, residents, tenants, and security personnel to manage residential properties, gate access, payments, and estate communications across Nigeria.
CHomes operates solely as a technology platform that facilitates interactions between users. CHomes does not:
- Own, lease, manage, or control any property listed or managed on the Platform
- Act as a real estate broker, agent, or intermediary
- Act as a financial institution, payment processor, or escrow service
- Hold, control, or manage user funds
- Guarantee the accuracy, completeness, or reliability of user-provided information
- Guarantee property conditions, services, or outcomes of any kind
CHomes is not a party to any agreements between users, including agreements between landlords, tenants, or estate administrators. Nothing in these Terms shall be deemed to create any partnership, agency, or joint venture between CHomes and any user.
Section 3 — User Roles & Responsibilities
The Platform supports distinct user roles, each with defined responsibilities. Every user is solely responsible for their actions, data, and interactions on the Platform.
3.1 Estate Administrators
- Manage estate-level settings, resident registrations, and access controls
- Oversee billing structures and administrative configurations
- Ensure the accuracy of estate-related data and information at all times
- Comply with all applicable data protection obligations in relation to resident data accessed through the Platform
3.2 Landlords
- Manage property units, tenancy records, and landlord–tenant relationships
- Ensure the accuracy of property and tenancy information
- Fulfil all obligations related to property ownership and tenancy under applicable Nigerian law
3.3 Residents & Tenants
- Use the Platform for payments, communications, gate access, and estate services
- Provide accurate personal and occupancy information at all times
- Comply with applicable estate rules and the CHomes Acceptable Use Policy
3.4 Security Personnel
- Use the Platform solely for estate security management purposes including gate access control, visitor approvals, and access log monitoring
- Not access, share, or use resident data beyond what is necessary to perform their security duties
- Report any access anomalies, suspicious activity, or security incidents promptly through the Platform or to the relevant estate administrator
3.5 All Users
Regardless of role, all users:
- Are solely responsible for the accuracy, completeness, and legality of the information they provide
- Act independently and not on behalf of CHomes
- Are responsible for all interactions and transactions with other users
CHomes does not verify user-provided information and is not responsible for any inaccuracies, misrepresentations, or omissions. Failure to comply with these responsibilities may result in suspension or termination of access.
Section 4 — Account Registration & Security
To access certain features of the Platform, users must register for an account and provide accurate, complete, and up-to-date information. By registering, users agree to:
- Maintain the confidentiality of their login credentials at all times
- Use the Platform only under their own verified identity
- Ensure that all account information remains accurate and current
- Enable two-factor authentication where prompted or required
Users are solely responsible for all activities that occur under their accounts. Users must promptly notify CHomes at legal@chomes.ng of any unauthorised access, suspected security breach, or misuse of their account.
Section 5 — Payments & Transactions
The Platform facilitates payments between users including rent, service charges, and estate-related fees. All payments are processed through Paystack, an independent third-party payment provider.
CHomes does not hold, control, or manage user funds, act as an escrow or financial intermediary, or process or store payment card details or bank credentials.
By using payment features on the Platform, users acknowledge that:
- CHomes is not a party to any payment transaction
- Payment processing is subject to Paystack's own terms and policies
- Users are solely responsible for verifying all payment details before completing transactions
CHomes shall not be liable for failed, delayed, or incomplete transactions, loss of funds, incorrect payments, or disputes between users relating to payments. For payment disputes or refund requests, users should contact Paystack directly via support.paystack.com.
Section 6 — Communication & Platform Use
The Platform includes communication features including resident-to-landlord messaging, estate-wide announcements, and emergency reporting. Users are solely responsible for all content and messages they share through these features.
6.1 Prohibited Communication
Users must not use communication features to:
- Engage in harassment, abuse, threats, or discriminatory conduct
- Share false, misleading, or fraudulent information
- Submit false emergency reports or misuse emergency features
- Conduct commercial activity unrelated to property management
6.2 Platform Monitoring
CHomes reserves the right to review communications where there is a reasonable basis to suspect misuse, violation of these Terms, or risk to the safety or security of users or the Platform. Such reviews are conducted solely for compliance and safety purposes and in accordance with our Privacy Policy.
6.3 Emergency Features Disclaimer
Emergency reporting features are provided as a convenience to support estate safety. CHomes does not guarantee response times, outcomes, or any intervention in any emergency situation. Users must not misuse emergency features. False emergency reports constitute a serious violation of the Acceptable Use Policy and these Terms.
Section 7 — Acceptable Use
Users agree to use the Platform only for lawful purposes and in accordance with these Terms. In summary, users must not:
- Use the Platform for any illegal, fraudulent, or unauthorised purpose
- Interfere with, disrupt, or attempt to gain unauthorised access to the Platform, its systems, or data
- Circumvent, disable, or bypass any security or access control systems
- Share gate access credentials, QR codes, or access permissions with unauthorised persons
- Misuse or exploit data obtained through the Platform
- Reverse engineer, copy, or exploit any part of the Platform's technology
CHomes reserves the right to restrict, suspend, or terminate access and to take legal action in response to any violation of these Terms.
Section 8 — Platform & Property Disclaimer
CHomes provides the Platform on an "as is" and "as available" basis. CHomes acts solely as a technology provider and expressly disclaims all warranties, express or implied, regarding the Platform and any information or services accessed through it.
All property-related responsibilities, obligations, and liabilities remain solely with the relevant estate administrators and landlords. CHomes is not a party to and shall not be responsible for any agreements, disputes, or interactions between users.
Section 9 — User Disputes
CHomes is not responsible for mediating or resolving disputes between users. Users are primarily responsible for resolving such disputes directly and in good faith.
Where a dispute involves suspected misuse of the Platform, fraud, a safety risk, or a violation of these Terms, CHomes reserves the right to investigate and take appropriate enforcement action. Users may report platform-related violations to CHomes at legal@chomes.ng.
Section 10 — Limitation of Liability
To the fullest extent permitted by applicable Nigerian law, C-Homes Technologies Ltd shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to:
- Use of or inability to use the Platform
- Property-related disputes, conditions, or issues
- Financial transactions between users
- Loss of data, profits, revenue, or business opportunities
- Service interruptions, delays, or system failures
- Actions, omissions, or conduct of users or third-party service providers
- Reliance on information provided through the Platform
Where liability cannot be fully excluded by applicable law, CHomes' total aggregate liability to any user shall not exceed the total amount paid by that user in the twelve (12) months preceding the event giving rise to the claim, or NGN 50,000, whichever is greater.
Section 11 — Indemnification
Users agree to indemnify, defend, and hold harmless C-Homes Technologies Ltd, its directors, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to:
- Your use or misuse of the Platform
- Your violation of these Terms or any related policy
- Your infringement of any rights of a third party
- Any dispute between you and another user
- Any inaccurate, false, or misleading information you provide through the Platform
Section 12 — Account Suspension & Termination
CHomes reserves the right, at its sole discretion and without prior notice, to restrict, suspend, or permanently terminate access to the Platform for any user who:
- Violates these Terms or any related policy
- Engages in fraudulent, abusive, or unlawful activity
- Poses a risk to the safety, security, or integrity of the Platform or its users
- Is required to be restricted by applicable law or a regulatory authority
Users may terminate their own accounts at any time by contacting CHomes at legal@chomes.ng, subject to any outstanding payment obligations.
Section 13 — Intellectual Property
All rights, title, and interest in and to the Platform — including its software, design, features, content, trademarks, logos, and underlying technology — are owned by C-Homes Technologies Ltd or its licensors and are protected by applicable intellectual property laws.
CHomes grants users a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform solely for its intended purposes. Users must not:
- Copy, reproduce, modify, or distribute any part of the Platform without written authorisation
- Reverse engineer, decompile, or attempt to extract the Platform's source code
- Use CHomes trademarks, logos, or branding without prior written consent
- Create derivative works or competing services based on the Platform
Section 14 — Third-Party Services
The Platform integrates with third-party service providers including Paystack for payment processing, cloud infrastructure providers for hosting, and analytics and technical service providers. These providers operate independently of CHomes under their own terms and policies.
CHomes does not control and is not responsible for the availability, performance, or reliability of third-party services or any loss or damage arising from their use. Users are encouraged to review the terms and privacy policies of all third-party providers they interact with through the Platform.
Section 15 — Force Majeure
CHomes shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond CHomes' reasonable control, including:
- Acts of God, natural disasters, floods, or severe weather events
- Power outages or failures in telecommunications infrastructure
- Third-party infrastructure failures, including cloud hosting or payment provider outages
- Government actions, regulatory changes, or legal orders
- Civil unrest, strikes, or other events outside CHomes' control
Section 16 — Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
In the event of any dispute, the parties agree to resolve the matter through the following process in order:
- Stage 1 — Negotiation: The user must first notify CHomes in writing at legal@chomes.ng describing the dispute in detail. CHomes and the user will attempt to resolve the matter through good faith negotiation within 30 days of written notice.
- Stage 2 — Arbitration: If negotiation fails, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act (as amended) of Nigeria. The seat of arbitration shall be Port Harcourt, Rivers State, Nigeria. The language of arbitration shall be English.
- Stage 3 — Litigation: If arbitration is unsuccessful or inapplicable, either party may refer the matter to the competent courts of Nigeria.
Section 17 — Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary such that the remainder of these Terms shall continue in full force and effect.
Section 18 — Changes to These Terms
CHomes may update or modify these Terms at any time to reflect changes in our services, operations, or legal obligations. Any updates will be reflected by revising the "Last Updated" date at the top of these Terms. Continued use of the Platform after any update constitutes acceptance of the revised Terms.
